1. Acceptance of Terms

By accessing or browsing our website; booking a consultation; requesting a quotation; engaging our services; or communicating with us through any channel — you agree to be legally bound by these Terms & Conditions.

These Terms apply to every visitor, client, contractor, consultant, supplier, and any other individual or organization interacting with GenZ Infrastructures LLP.

2. Definitions

For these Terms:

• Company means GenZ Infrastructures LLP.

• Client means any individual, business, developer, organization, institution, or government body engaging our services.
• Services include Infrastructure Development, Residential Construction, Commercial Construction, Industrial Construction, Architectural Design, Structural Engineering, Interior Design, Project Management, Construction Consultancy, Renovation & Remodeling, Turnkey Projects, Site Planning, Estimation & Cost Consultancy, and Procurement Assistance.
• Project means any work undertaken under a quotation, proposal, work order, purchase order, agreement, or contract.
• Quotation means an estimated cost prepared by the Company before commencement of work.
• Consultation means an online, telephonic, or physical meeting arranged between the Client and the Company.

3. Scope of Services

GenZ Infrastructures LLP provides professional engineering, construction, infrastructure development, project management, architectural, and consultancy services including:

• Residential, Commercial & Industrial Construction
• Roads & Infrastructure Development
• Interior & Exterior Development
• Architectural Planning & Structural Design
• Project Supervision & Quantity Estimation
• Procurement Support & Site Inspections

The exact scope of work for every project shall be governed by the mutually accepted quotation, proposal, agreement, work order, or contract. Any work requested outside the agreed scope shall be treated as a variation and may involve additional cost and revised timelines.

4. Website Use

The website genzinfra.com is intended to provide information regarding our services, projects, expertise, and business operations. By accessing the Website, you agree to use it only for lawful purposes, provide accurate information, and not interfere with the security, server, or database operations. Unauthorized copying, scraping, or commercial exploitation of content is strictly prohibited.

5. Consultation Booking

GenZ Infrastructures LLP offers consultations through online forms, telephone, email, or in-person meetings. Submission of a request does not guarantee confirmation. Clients agree to provide accurate details and attend at scheduled times. Technical advice during initial consultations is based on preliminary information and does not constitute a final engineering commitment.

6. Quotations & Estimates

All quotations, estimates, and proposals are based on project information provided by the Client. Unless specified otherwise, quotations remain valid for 30 days from issue. Prices may change due to material cost fluctuations, labor charges, statutory taxes, or scope revisions. No quotation constitutes a binding contract until accepted in writing.

7. Payments & Billing

Payment terms shall be specified in the formal contract or quotation. An advance payment may be required before commencement of work. Remaining payments shall be made according to agreed project milestones. Applicable GST and statutory taxes shall be charged separately. Late payments may result in work suspension and project schedule delays.

8. Project Execution

GenZ Infrastructures LLP shall execute projects with reasonable skill, care, and diligence in accordance with accepted engineering practices, approved drawings, and agreed scope. The Company may engage qualified subcontractors or specialists where necessary without relieving its primary contractual responsibilities to the Client.

9. Client Responsibilities

The Client agrees to provide accurate documentation, ensure safe and uninterrupted site access, obtain necessary statutory approvals and site ownership permissions, review and approve submittals promptly, and make scheduled payments. The Company is not responsible for delays caused by Client inaction.

10. Change Orders & Variations

Any request by the Client to alter project scope, design, specifications, finishes, quantities, or timelines shall be treated as a Variation. Each variation may require revised pricing and milestone extensions. Variations become binding only when approved by both parties in writing.

11. Materials & Procurement

Material specifications shall follow the approved quotation. Equivalent products of comparable quality may be substituted where original items become unavailable. Where the Client supplies materials, the Client remains responsible for quality, timely delivery, and warranties.

12. Quality Standards

GenZ Infrastructures LLP executes projects in accordance with relevant Indian Standards (IS Codes) and professional construction practices. Minor aesthetic variations that do not affect structural integrity or safety shall not constitute defective work.

13. Site Access & Safety

The Client shall ensure safe, uninterrupted access to the site during working hours, including basic utilities (water and electricity) where agreed. The Company implements reasonable workplace safety measures for personnel on site.

14. Project Delays

The Company shall not be liable for delays resulting from Client-requested scope changes, payment delays, material shortages, adverse weather, regulatory inspections, transport disruptions, or unforeseen site conditions. Schedules shall be extended appropriately.

15. Force Majeure

Neither party shall be liable for failure or delay in performing obligations due to events beyond reasonable control, including natural disasters, floods, earthquakes, fires, epidemics, war, civil disturbances, government restrictions, or utility failures. Timelines shall be extended for the duration of the event.

16. Warranties

GenZ Infrastructures LLP warrants that its services will be performed with reasonable skill, care, and diligence in accordance with generally accepted engineering, architectural, and construction practices.

Unless otherwise agreed in writing:

• Services are provided based on the information supplied by the Client.
• The Company does not guarantee that every project will be free from unforeseen conditions beyond its reasonable control.
• Any warranties provided by manufacturers or suppliers of materials, fixtures, equipment, or appliances shall remain solely the responsibility of those manufacturers or suppliers.

The Company does not warrant:

• Continuous availability of materials.
• Government approval of submitted plans or applications.
• Changes in laws, regulations, or building codes after project commencement.
• Delays caused by third parties.

17. Defect Liability

Where a written project agreement includes a Defect Liability Period (DLP), the Company shall rectify defects arising solely from defective workmanship during the agreed period.

The Defect Liability Period shall not apply to defects caused by:

• misuse,
• improper maintenance,
• unauthorized alterations,
• normal wear and tear,
• natural disasters,
• vandalism,
• third-party work,
• Client negligence.

The Client shall notify the Company in writing within a reasonable time after discovering any defect.

18. Intellectual Property

Unless expressly transferred through a written agreement, all intellectual property created by GenZ Infrastructures LLP remains the exclusive property of the Company. This includes:

• architectural drawings,
• structural drawings,
• engineering calculations,
• CAD files,
• BIM models,
• renderings,
• 3D visualizations,
• project reports,
• specifications,
• designs,
• project methodologies,
• software,
• photographs,
• videos,
• graphics,
• logos,
• branding,
• website content,
• documentation.

Clients receive a limited, non-exclusive licence to use project deliverables solely for the project for which they were prepared. Clients shall not sell, reproduce, modify, distribute, publish, sublicense, or commercially exploit any Company intellectual property without prior written consent.

19. Website Content

All content published on genzinfra.com, including text, graphics, icons, logos, videos, project photographs, illustrations, articles, downloads, designs, and layouts, is protected under applicable intellectual property laws. Unauthorized copying, reproduction, scraping, republication, or commercial use is strictly prohibited.

20. Confidentiality

Both the Company and the Client agree to maintain the confidentiality of all non-public information exchanged during the course of the project. Confidential Information includes:

• business plans, technical data, trade secrets,
• financial information, proprietary methodologies, software, source files.

Confidential Information shall not be disclosed to third parties except: with prior written consent, where required by law, where required by regulatory authorities, or where disclosure is necessary for project execution. This obligation survives completion or termination of the project.

21. Privacy & Data Protection

GenZ Infrastructures LLP respects your privacy and is committed to protecting your personal information. Information collected may include name, email address, phone number, company details, project location, project requirements, communication history, and billing information.

Such information may be used for responding to enquiries, preparing quotations, project execution, customer support, invoicing, legal compliance, internal administration, and improving our services. 22. Third-Party Services

25. Limitation of Liability

To the fullest extent permitted under applicable law, GenZ Infrastructures LLP, its partners, directors, employees, consultants, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to:

• delay in project execution;
• business interruption;
• loss of profits or revenue;
• loss of business opportunities;
• loss of goodwill;

• increased construction costs due to market fluctuations;

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

26. Client Indemnification

The Client agrees to indemnify, defend, and hold harmless GenZ Infrastructures LLP, its partners, employees, consultants, subcontractors, and affiliates from any claims, liabilities, losses, damages, costs, expenses, or legal proceedings arising out of:

• inaccurate information provided by the Client;
• unauthorized changes to designs or specifications;
• misuse of project deliverables;
• violations of applicable laws by the Client;
• infringement of third-party intellectual property resulting from Client-provided materials;
• unsafe site conditions not caused by the Company;
• claims arising from work performed by third parties engaged directly by the Client.

27. Insurance

Unless otherwise agreed in writing, the Company shall maintain insurance coverage appropriate to its operations where required by law or contract. The Client remains responsible for insuring the project site, existing structures, materials owned by the Client, and any property not under the Company's control. The Company shall not be responsible for losses that are ordinarily covered under the Client's insurance policies.

28. Suspension of Services

GenZ Infrastructures LLP reserves the right to suspend all or part of its services if:

• payments remain overdue;
• the Client breaches these Terms;
• site conditions become unsafe;
• required approvals are not obtained;
• access to the project site is denied;
• continued work would violate applicable laws or regulations;
• circumstances beyond reasonable control prevent safe or lawful execution.

During any period of suspension, project timelines shall be extended accordingly. The Company shall not be liable for delays or additional costs resulting from such suspension where caused by the Client or external circumstances.

29. Termination

Either party may terminate the engagement in accordance with the applicable project agreement or by providing reasonable written notice. The Company may terminate services immediately if:

• the Client commits a material breach of these Terms;
• payments remain outstanding despite written notice;
• fraudulent, unlawful, abusive, or threatening conduct occurs;
• the Client requests work that violates applicable laws or professional standards.

Upon termination, the Client shall pay for all work completed up to the termination date, reimbursable expenses incurred shall remain payable, and completed drawings or deliverables may be released only after settlement of outstanding dues.

30. Compliance with Applicable Law

Both the Company and the Client agree to comply with all applicable laws, regulations, codes, standards, and statutory requirements relevant to the project. Where statutory approvals are the responsibility of the Client, delays arising from failure to obtain such approvals shall remain the Client's responsibility.

31. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Republic of India. Nothing contained herein shall restrict any rights available under applicable Indian laws.

32. Dispute Resolution

The parties shall first attempt to resolve any dispute through good-faith discussions and negotiations. If the dispute cannot be resolved amicably within thirty (30) days, either party may refer the matter to mediation or arbitration by mutual agreement.

Where arbitration is agreed:

• arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996 (as amended);
• proceedings shall be conducted in English;
• the seat of arbitration shall be Jaipur, Rajasthan, unless otherwise agreed.

If arbitration is not agreed or is otherwise unavailable, the courts having jurisdiction in Jaipur, Rajasthan, shall have exclusive jurisdiction over disputes arising from these Terms.

33. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be interpreted in a manner consistent with its original intent while complying with applicable law.

34. Waiver

Failure by GenZ Infrastructures LLP to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver shall be effective only if made in writing by an authorized representative of the Company.

35. Entire Agreement

These Terms & Conditions, together with any accepted quotation, proposal, work order, project agreement, and any policies published on genzinfra.com, constitute the entire understanding between the parties concerning the relevant services. In the event of a conflict, a separately executed written project agreement shall prevail.

36. Amendments

GenZ Infrastructures LLP reserves the right to modify or update these Terms & Conditions at any time. Updated versions will be published on genzinfra.com with a revised effective date. Continued use of the Website or Services after such updates constitutes acceptance of the revised Terms.
